This Services Agreement governs your access to and use of hankmarquis.com, hailee.ai, related websites, content, tools, AI interactions, materials, outputs, and services collectively referred to as the "Website and Services." This Agreement is effective from 2026-09-18. By accessing or using the Website and Services, you accept this Services Agreement, the Terms of Service, the Privacy Policy, the Copyright Notice, and all trademark, copyright, and intellectual property notices displayed on or referenced by the Website and Services. If you do not agree, do not use the Website and Services.

I make the Website and Services available to help organizations understand how enterprise applications are delivered to workgroups, identify delivery friction, diagnose its causes, and decide what to do next.

Definitions

• "Website" means hankmarquis.com, hailee.ai, and related domains, pages, features, functionality, and content made available through them.
• "Services" means free and paid offerings provided, related to, or described through the Website, including Hailee™, Hailee One™, Hailee Sprint™, DEXshop™, DEXLR8™, Workgroup Digital Twins™, Experiograms™, AI interactions and outputs, evaluations, workshops, advisory services, tools, templates, materials, downloads, and related resources.
• "Hailee" means the AI advisor made available through HAILEE.ai.
• "Workgroup Digital Twin" means an aggregated model of a selected workgroup created from information and evidence collected for an engagement. It is not intended to monitor or represent individual employees.
• "Hailee One" means the initial paid diagnostic engagement for one application and one workgroup, including creation of a Workgroup Digital Twin and access to Hailee as stated in the applicable offer or order.
• "Hailee Sprint" means the expanded engagement consisting of Diagnose, Align, and Execute. Diagnose is delivered through Hailee One; Align may add DEXshop™; and Execute may add DEXLR8™, as stated in the applicable offer or order.

Related Policies

This Services Agreement incorporates by reference the Terms of Service, Privacy Policy, and Copyright Notice. If an accepted proposal, order, statement of work, or other written agreement contains terms that conflict with this Agreement, the more specific written terms control for that engagement.

Website, Trial, and Free Use

You may use publicly available Website content and any free or trial access offered by HAILEE.ai for evaluation, education, and exploration, subject to this Agreement and the related policies. Free or trial access does not include paid services unless expressly stated.

Paid Services

Paid Services are governed by this Agreement together with the applicable offer, proposal, order, or statement of work. The applicable written offer identifies the services purchased, price, scope, access period, and any engagement-specific limits or conditions.

Hailee One™ is the starting diagnostic engagement: one application, one workgroup, and one defined engagement price. Its purpose is to build the selected Workgroup Digital Twin™, diagnose application delivery issues, and provide access to Hailee for the period stated in the applicable offer.

Hailee Sprint™ extends that work when additional help is purchased. Diagnose is Hailee One™. Align adds DEXshop™, a facilitated leadership workshop used to turn the diagnosis into an agreed action plan. Execute adds DEXLR8™, an advisory engagement used to support the work, assess progress, and complete any follow-up evaluation stated in the applicable offer. Align and Execute are not included unless purchased.

Customer Responsibilities

You are responsible for providing timely access to the appropriate people and information needed for the Services you purchase. Delivery dates and stated completion periods depend on that access and on a sufficiently defined application and workgroup. You are responsible for the accuracy and lawfulness of information you provide and for having authority to provide it.

Fees and Access

Fees, payment terms, service periods, usage limits, and included deliverables are those stated in the applicable offer, proposal, order, or statement of work. Unless expressly included, purchasing one Service does not include another Service. Access may end when the applicable service or license period expires.

Acceptable Use

• You agree to use the Website and Services responsibly and in accordance with applicable laws.
• You agree not to misuse, disrupt, reverse engineer, scrape, copy, interfere with, or attempt to gain unauthorized access to the Website and Services.
• If you access or use the Website and Services on behalf of a business, institution, or organization, you represent that you have authority to accept this Agreement on that organization’s behalf.

Intellectual Property

Unless otherwise stated in writing, the books, PDFs, extracts, excerpts, downloads, content, frameworks, models, tools, visuals, methods, educational materials, templates, worksheets, evaluations, and related materials associated with Hailee™, Hailee One™, Hailee Sprint™, Completely Satisfied™, Workgroup Digital Twins™, DEXscan™, DEXshop™, DEXLR8™, Experiogram™, EXG™, and related methodologies are the intellectual property of Hank Marquis.

Use of the Website and Services is subject to the Copyright Notice and applicable trademark, copyright, and intellectual property notices. Except for the access and use rights expressly provided by this Agreement or an applicable written agreement, no ownership rights are transferred to you.

Data and Privacy

Do not submit information that you are not authorized to provide. Workgroup Digital Twins™ are designed around aggregated workgroup evidence rather than individual employee monitoring. Personal information and other data are handled as described in the Privacy Policy. Any engagement-specific data handling or retention terms stated in an applicable written agreement also apply.

AI and Advisory Services

Hailee™ is an AI advisor for enterprise application delivery. AI-generated responses may be inaccurate, incomplete, or inappropriate for a particular situation. Hailee provides analysis and recommendations; you remain responsible for decisions and actions taken from them.

The Website and Services do not provide legal, financial, medical, or other regulated professional advice. Use of Hailee alone does not create a professional advisory or consulting relationship with Hank Marquis. Any human advisory services included in DEXshop™, DEXLR8™, or another paid engagement are limited to the scope stated in the applicable written agreement.

No Warranty

Except as expressly stated in an applicable written agreement, the Website and Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. No guarantee is made that AI outputs or other Website content will be accurate, complete, uninterrupted, error-free, or suitable for every purpose.

Decisions and Use of Outputs

Hailee advises; you decide. You are responsible for evaluating recommendations, analyses, findings, and outputs in the context of your organization before acting on them. Website and Services outputs should not be the sole basis for legal, financial, medical, regulatory, or other decisions requiring licensed professional judgment.

Access

I reserve the right to restrict, suspend, or terminate access for misuse, abuse, unauthorized access, interference with the Website and Services, nonpayment, expiration of an applicable access period, or other material violation of this Agreement or an applicable written agreement.

Governing Law

This Agreement is governed by the laws of the State of New Hampshire, USA, without regard to conflict of law principles.

By accessing or using the Website and Services, or by accepting or purchasing Services that reference this Agreement, you agree to this Services Agreement, the Terms of Service, the Privacy Policy, the Copyright Notice, and any applicable offer, proposal, order, statement of work, and related notices.
